Hardware Rental Agreement – CodeZap Systems

This Rental Agreement is entered into between CodeZap Systems (Pty) Ltd ("Provider") and the client ("Customer") and governs the supply, rental, and eventual ownership transfer of hardware devices under a Device-as-a-Service (DaaS) arrangement.

1 Parties to the Agreement

Provider: CodeZap Systems (Pty) Ltd — Reg: 2025/748731/07, Unit 28, 21 Sunset Avenue Estate, Lonehill, Sandton, Gauteng 2191.

Customer: The registered business entity or individual that has entered into a rental agreement with CodeZap Systems and whose details are captured at signing.

2 Contract Term

This agreement runs for a fixed term of 24 months from the contract start date, which is the date on which the first payment is successfully processed and the device is delivered or activated.

3 Payment Terms

A fixed monthly rental fee is agreed at the commencement of this agreement
Payments are processed monthly via PayFast on the agreed billing date
All fees are quoted in South African Rand (ZAR) inclusive of VAT where applicable
A setup or delivery fee may apply and will be communicated separately
Failure to maintain payments constitutes a breach of this agreement

4 Ownership Transfer

Upon successful completion of all 24 monthly payments, full legal ownership of the hardware device transfers to the Customer at no additional cost. Until that point, the device remains the property of CodeZap Systems (Pty) Ltd.

5 Support & Maintenance

Remote technical support is included throughout the rental term
Hardware faults will be diagnosed and resolved as per the SLA (view SLA)
Faulty devices will be replaced or repaired within 24–48 business hours of a confirmed fault
Loan units may be provided during repair to maintain business continuity

6 Customer Responsibilities

The Customer must take reasonable care of the hardware throughout the rental period
The device must not be modified, disassembled, or used in a manner inconsistent with its design
The Customer must report faults promptly via WhatsApp or email
The Customer must not resell, sublease, or transfer the device to a third party

7 Damage, Loss & Theft

The Customer is responsible for any damage caused by negligence, misuse, accidental damage, or theft during the rental period. In such cases:

⚠️ The Customer may be liable for the cost of repair or replacement of the device. Replacement costs will be quoted at current market rates. CodeZap Systems recommends insuring rented devices under the Customer's business insurance policy.

8 Early Termination

Should the Customer wish to exit this agreement before the 24-month term expires, the remaining balance of all outstanding monthly payments becomes immediately due and payable. No partial refunds or credits will be issued for early termination.

9 Eligibility

Rental agreements are available to registered South African businesses only
A valid CIPC registration certificate is required at sign-up
CodeZap Systems reserves the right to decline applications at its discretion

10 Governing Law

This agreement is governed by the laws of the Republic of South Africa. Disputes shall be referred to the appropriate South African court or dispute resolution body.
