Terms of Service

Please read carefully. By accessing or using any CodeZap Systems product or service — including the Zula Platform, LaundryFlow™, BeautyFlow™, hardware rental, or software integrations — you agree to these Terms of Service.

1 Parties

Provider: CodeZap Systems (Pty) Ltd, registered in South Africa (Reg: 2025/748731/07), located at Unit 28, 21 Sunset Avenue Estate, Lonehill, Sandton, Gauteng 2191.

Client: The individual or business entity that engages CodeZap Systems for services, signs an agreement, or makes payment.

2 Services Offered

CodeZap Systems provides the following services, subject to separate agreements where applicable:

3 Payment Terms

All pricing is quoted in South African Rand (ZAR) and inclusive of VAT where applicable.

Late payments may result in service suspension. CodeZap Systems reserves the right to charge interest on overdue amounts.

4 Subscription & Cancellation

Monthly subscriptions for Zula Platform products continue until cancelled. Cancellations must be submitted in writing (email or WhatsApp) at least 5 business days before the next billing date. No partial-month refunds are provided.

The once-off setup fee is non-refundable once onboarding has commenced.

5 Acceptable Use

You agree not to use CodeZap Systems services to:

6 Intellectual Property

All software, platforms, flows, and automation logic created by CodeZap Systems remain the intellectual property of CodeZap Systems (Pty) Ltd. Client data and business configurations remain the property of the client.

7 WhatsApp & Meta Compliance

Zula Platform products operate via WhatsApp Business API. Clients are responsible for ensuring their use of automated messaging complies with Meta's Terms of Service and Acceptable Use Policy. CodeZap Systems is not liable for any account restrictions imposed by Meta.

8 Limitation of Liability

CodeZap Systems shall not be liable for indirect, consequential, or incidental damages including loss of revenue, data, or business opportunity. Our total liability shall not exceed the fees paid by the client in the 3 months preceding the claim.

9 Uptime & SLA

Zula Platform products are provided with a 99.5% uptime SLA. Scheduled maintenance windows are excluded. Full SLA terms are available at codezap.co.za/sla.html.

10 Data & Privacy

CodeZap Systems collects and processes client and end-user data to provide services. Data is handled in accordance with our Privacy Policy and the Protection of Personal Information Act (POPIA). Full details at codezap.co.za/privacy.html.

11 Termination

Either party may terminate services with written notice. CodeZap Systems may immediately suspend or terminate services if the client breaches these Terms, fails to pay, or engages in prohibited conduct.

12 Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the South African courts.

13 Amendments

CodeZap Systems may update these Terms at any time. Continued use of services after notification of changes constitutes acceptance of the updated Terms.
